This End User Licence Agreement (“Agreement” or “EULA”) is a legally binding agreement between you (“User”, “you”) and EAssure Solutions India Private Limited (“SIMDU”, “Company”, “we”, “our”, or “us”) governing your installation, activation, access to and use of the SIMDU mobile application, bridge application, updates, documentation and all related software (together, the “Software”).
By downloading, installing, activating, accessing or using the Software, you acknowledge that you have read, understood and agree to be bound by this Agreement. If you do not agree, you must not install, activate or use the Software.
The SIMDU Software has not been released. You cannot download or activate it yet, and joining the waitlist does not accept this Agreement. It is published in advance so that it can be read before anyone is asked to agree to it, and it takes effect on the first installation.
1. Definitions
Account means a registered SIMDU account associated with a valid licence.
Activation means successful validation and registration of a licence with SIMDU’s licensing system.
Licence means the limited right granted under this Agreement to use the Software.
Software means the SIMDU mobile application, bridge application, updates, patches, documentation and all associated components.
You means the individual or legal entity using the Software.
2. Grant of licence
Subject to your compliance with this Agreement and payment of all applicable fees, SIMDU grants you a limited, revocable, personal, non-exclusive, non-transferable and non-sublicensable licence to:
- install the Software on compatible devices;
- activate your purchased licence;
- use the Software for lawful personal or internal business purposes;
- access features included in your purchased licence; and
- download updates made available for your licensed version.
This Agreement grants a right to use the Software only. No ownership is transferred.
3. Ownership
The Software is licensed, not sold. All rights, title and interest in it — source code, object code, user interface, graphics, logos, icons, documentation, databases, architecture, visual and audio assets, copyrights, trademarks and trade secrets — remain the exclusive property of EAssure Solutions India Private Limited and its licensors.
4. Permitted use
Subject to this Agreement, you may:
- install the Software on supported operating systems;
- use it with supported flight simulation platforms and aircraft integrations included in your licence;
- receive updates made available for your version; and
- make a reasonable backup copy where applicable law permits.
5. Restrictions
Unless we authorise it in writing or applicable law requires otherwise, you may not:
- copy the Software except for lawful backup;
- modify, adapt, translate or create derivative works;
- reverse engineer, decompile, disassemble or decode it, or otherwise attempt to obtain the source code;
- remove copyright notices or proprietary markings;
- circumvent activation, licensing, authentication or security systems;
- redistribute, rent, lease, sublicense, lend or resell the Software;
- share, publish or expose activation keys or credentials;
- use the Software to develop a competing product;
- use automated tools to interfere with the Software or Services;
- attempt unauthorised access to our systems; or
- use the Software in breach of applicable law.
Breach may result in immediate termination of your licence without refund, and civil or criminal action where the law permits.
6. Activation and device controls
The Software requires a valid licence. Activation may require internet connectivity, account authentication, licence verification, device verification and security validation.
To protect against unauthorised use we may implement reasonable controls including device registration, activation limits, periodic validation and security monitoring. You may need to reactivate after significant hardware or system changes. Attempts to bypass these mechanisms are prohibited.
7. Licence verification
We may periodically verify that a licence remains valid, which may require communication with our servers. Failure to verify may result in limited functionality, temporary suspension, deactivation or a request for further verification. We will make reasonable efforts to minimise disruption to legitimate users.
8. Duration and transfer
Unless stated otherwise at purchase, your licence remains valid until you permanently stop using the Software, it is terminated under this Agreement, we lawfully terminate support, or the Software is discontinued. Termination does not automatically entitle you to a refund — see the Refund Policy.
Each licence is issued to the original purchaser. Licences are personal and may not be sold, assigned, shared, gifted, leased, rented or transferred. We may invalidate any licence transferred in breach of this Agreement.
9. Independent software
SIMDU is an independent third-party product. Unless expressly stated, it is not affiliated with, endorsed by, sponsored by or associated with Microsoft Corporation, Asobo Studio, PMDG, FlyByWire Simulations, Fenix Simulations, iniBuilds, iFly, Navigraph, ToLiss, any aircraft manufacturer, any airline or any simulator developer.
All trademarks, product names, company names and logos remain the property of their respective owners and are used solely for compatibility and identification.
10. Compatibility
Compatibility may vary with simulator version, operating system, third-party aircraft updates, hardware, network environment and other software on your device. We do not guarantee uninterrupted compatibility with future versions of third-party software.
10.1 Supported aircraft
The list of supported aircraft, simulators, integrations and features may change. We may add, modify, suspend, discontinue or remove support for any of them where necessary for technical feasibility, compatibility, third-party changes, availability of developer interfaces or SDKs, licensing, commercial viability, legal requirements or other reasonable business factors.
Nothing in this Agreement guarantees that any announced, advertised or planned aircraft integration will be released or remain available for any particular period.
11. Updates
We may release updates including new features, bug fixes, performance improvements, security patches, compatibility updates and stability enhancements. Some may install automatically where the law permits; others may require manual installation. We may discontinue support for outdated versions where it is no longer feasible.
12. Beta features
We may make beta, preview, early-access, experimental or pre-release features available. Beta features may contain bugs, may be incomplete, may change significantly, and may be modified or discontinued without notice. They are provided “as is” with no guarantee of functionality, availability or future inclusion, and you use them entirely at your own risk.
13. Third-party software
The Software is designed to interact with supported third-party software including simulators and aircraft add-ons. We do not control Microsoft Flight Simulator, third-party aircraft developers, operating system updates, external APIs or plugins. Changes they make may affect compatibility temporarily or permanently. We will make reasonable efforts to restore compatibility where feasible but do not guarantee it.
14. Your responsibilities
You are responsible for:
- maintaining the security of your account;
- keeping your credentials confidential;
- installing the Software only on compatible systems;
- keeping your account information accurate;
- installing updates where reasonably necessary for security or compatibility; and
- ensuring your use complies with applicable law.
You are responsible for activity under your account unless applicable law provides otherwise.
15. Anti-piracy
We may implement technical measures against piracy, unauthorised copying, licence sharing, unauthorised redistribution, fraudulent activations and circumvention of licensing — including licence validation, device authentication, integrity checks and fraud detection. You may not disable, interfere with or attempt to circumvent them. Unauthorised copying, distribution, modification, cracking or piracy may result in immediate termination and legal action.
16. Support
We may provide support through documentation, email and online resources, including technical assistance, troubleshooting, installation guidance, licence assistance and bug reporting. Availability, response times and scope may vary, and nothing in this Agreement guarantees any particular level of support.
17. Suspension and termination
We may suspend, restrict, deactivate or terminate a licence where we reasonably believe you have breached this Agreement or the Terms & Conditions, engaged in fraudulent or unlawful conduct, circumvented licensing or activation, distributed the Software without authorisation, used stolen payment methods, attempted to compromise the security of the Services, or used the Software in a way that could harm us, our users or third parties.
On termination you must stop using the Software and remove it from your devices.
18. Feedback
If you voluntarily provide feedback, you grant us a worldwide, perpetual, irrevocable, royalty-free licence to use, modify, reproduce, publish and incorporate it into the Software without compensation or acknowledgement.
19. Minimum age
You must be at least 18 years old to hold a licence or accept this Agreement. A person under 18 may use the Software only under the account of, and with the supervision of, a parent or legal guardian who accepts this Agreement as the licensee.
20. Disclaimer of warranties
To the fullest extent permitted by law, the Software is provided “as is” and “as available”, without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, availability, compatibility or error-free operation.
SIMDU is entertainment software for flight simulation. It is not certified avionics, is not for use in real aircraft operations, and must not be relied upon for real-world navigation, flight planning or training credit.
21. Limitation of liability
To the maximum extent permitted by law, EAssure Solutions India Private Limited and its directors, employees, officers, contractors, affiliates and licensors are not liable for any indirect, incidental, consequential, special, exemplary or punitive damages, or for loss of profits, revenue, business, goodwill or data, business interruption, computer failure, simulator corruption or third-party incompatibility arising from your use of, or inability to use, the Software.
Where liability cannot legally be excluded, our aggregate liability will not exceed the amount you paid for the applicable licence in the twelve months preceding the claim. Nothing in this Agreement excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, for fraud, or under applicable consumer protection law.
22. Indemnity
You agree to indemnify and hold harmless EAssure Solutions India Private Limited and its affiliates, officers, directors, employees, contractors and licensors against claims, damages, liabilities, losses, costs and reasonable legal fees arising from your breach of this Agreement, your misuse of the Software, your violation of law, or your infringement of third-party rights.
23. Export compliance and government use
You agree not to use, export, re-export or transfer the Software in breach of any applicable export control law, sanction or trade restriction, and you confirm you are not located in, or a national of, a jurisdiction subject to such restrictions where that would make your use unlawful.
Where the Software is acquired by or on behalf of a government entity, it is provided as “commercial computer software” with only those rights granted to all other users under this Agreement.
24. Open source components
The Software may include open source components licensed under their own terms. Where an open source licence conflicts with this Agreement, the open source licence governs that component. Attributions and licence texts will be made available within the Software or its documentation.
25. Force majeure
We are not liable for failure or delay caused by events beyond our reasonable control, including natural disasters, fire, flood, pandemic, government action, internet or power outages, cyberattacks, war, terrorism, civil unrest or failures of third-party providers.
26. Governing law and disputes
This Agreement is governed by the laws of the Republic of India, without regard to conflict of law principles. Please contact support first; any dispute that cannot be resolved amicably is subject to the exclusive jurisdiction of the competent courts at Delhi, India. Nothing in this section limits a right that cannot be waived under applicable consumer protection law.
27. Changes to this Agreement
We may modify this Agreement. Where a change is material we will make reasonable efforts to notify you through the Software, the website or email. Continued use after the revised Agreement takes effect constitutes acceptance. The current version is always at simdu.co/eula.
28. General
Survival. Sections concerning ownership, restrictions, disclaimers, limitation of liability, indemnity and governing law survive termination.
Severability. If any provision is held invalid or unenforceable, the rest continues in force and the invalid provision is modified only so far as needed to make it enforceable.
Waiver. Our failure to enforce a provision is not a waiver of it. A waiver is effective only in writing.
Assignment. You may not assign your rights without our written consent. We may assign ours in a merger, acquisition, restructuring or sale of assets.
Electronic acceptance. Installing, activating or using the Software constitutes your electronic signature and acceptance of this Agreement, with the same effect as a written signature.
Entire agreement. This Agreement, with the Terms & Conditions, Privacy Policy and Refund Policy, is the entire agreement regarding the Software. If it conflicts with the Terms & Conditions, this Agreement governs licensing, installation and technical use of the Software.
Reservation of rights. All rights not expressly granted are reserved by EAssure Solutions India Private Limited.
